1Can I set up a UK limited company if I live outside of the UK and if I’m not a UK national?

Forming a UK Limited company is open to individuals of any nationality and residency status. Both directors and shareholders can be from anywhere in the world. However, directors must be at least 16 years old to hold office.

It's important to note that a UK Registered Office address is a requirement for your company.

  • Directors are responsible for acting in the best interests of the company and its shareholders.
  • They must comply with company law and fulfill statutory duties.
  • Directors are tasked with maintaining accurate company records and filing necessary documents with Companies House.
  • They must ensure the company's financial affairs are conducted prudently and ethically.
  • Directors are also responsible for managing the company's affairs and making decisions for its benefit.

2When can I can starting trading through my new company ?

You can begin trading when your application is approved by Companies House. This usually takes no more than 3 to 6 working hours, depending on Companies House current workload.

Should you require to register a company urgently, we offer a Guaranteed Same Day Service which can be added to your order. If you choose to start trading immediately, you must register your company with HMRC for Corporation Tax within 3 months.

3What if I do not have an address that I can use for the Registered Office as I do not live in the UK?
All our packages includes our Registered Office Service; this means that you can use our London address as your company’s Registered Office. Any Companies House or HMRC mail that we receive is scanned and emailed straight to you to avoid any delays.
4Do I get paper incorporation documents with my package

For the Residency and Accounting-Inclusive packages, you will receive a paper Certificate of Incorporation along with certified constitutional documents via mail.

The Basic package includes only digital documents that you can print.

Additionally, you have the option to order certified printed documents at any time through your admin console.

5Are there any additional costs ?

No, our company formation packages cover all taxes and fees charged by Companies House. The price you see is the final amount you'll pay. Any additional products or services selected will incur extra charges.

1Do I need to supply a proof of ID ?

Why do we require proof of ID and address?

We are regulated by the Money Laundering and Terrorist Financing (Amendment) Regulations 2019, London Local Authorities Act 2007, and Know Your Customer (KYC) guidelines, which means we must verify the ID and address of customers and certain shareholders.

We will perform a digital check of your ID and address using the information you have already provided in your company order form.

For the remaining 10% of our customers who are not eligible for our digital ID check, or where their digital ID check fails, we have teamed up with CREDAS to provide you with a state-of-the-art mobile App to digitally certify and send us your proof of ID and address in just 5 minutes, for no additional cost.

Our ID Team will send you an invitation by email with simple instructions on how to use the App.

Who needs to supply ID

If we need to ask you for ID, we will let you know the names of the people we require it from, so you do not have work this out for yourself. However, for information purposes only, please see who we are legally required to obtain ID from:

  • Anyone who purchases a company formation package, an address service, and certain company secretarial services, e.g. transfer or issue of shares, etc.
  • All shareholders who own over 25% of a company or LLP.
  • Anyone using our Business Address Service, who wishes to have mail forwarded to them.
2How to Pass the CREDAS ID Check?

Follow the steps below to increase your chances of passing the ID Check first time:

  1. Name Match

Enter your first and last name exactly as it appears on your identity document (passport or driving licence) to avoid rejection.

  1. ID Document (Clear & Complete)

Ensure the entire ID document is captured on screen. No parts of your ID should be cut off or hidden.

The photo and details on your ID must be clear and in focus.

  1. ID Photo (Free from Glare)

Ensure your ID is free from glare and your photo is not being obscured by the reflective hologram.

If your face is not clear on the ID, the software cannot perform the face match.

  1. Selfie Check

Centre and align your face and eyes with the guidelines on the screen.

  1. Liveness Check

Copy the unique action as displayed on your screen.

  1. Proof of Residential Address

Take a clear photo of your original proof of address document (Computer and mobile screenshots of documents are not accepted).

  • Must be dated within 3 months or annual statement.
  • Show your name and home address.

3Proof of ID and Address Document Checklist
Proof of ID (Approved List):
  • Valid International Passport (not expired)
  • Driving Licence (with photocard)
  • National Identity Card
Proof of Residential Address (Approved List):
  • Utility Bill (Gas, Electric or Water)
  • Telephone bill (Mobile phone bills are not accepted)
  • Insurance Letter (Motor, Home or Life)
  • Mortgage Statement
  • Council Tax Bill
  • Bank/ Building Society Statement (Digital / challenger banks not accepted)
  • Credit Card Statements
  • TV Licence
  • HM Revenue and Customs Letter/Notice of Coding
  • Letter from Benefits Agency
  • Financial Statement (e.g Pension/ Endowment)
  • Polling card
The Proof of Residential Address Document Must:
  • Show your name (not business name)
  • Show your current residential address
  • Show the name of company / authority that issued the document
  • Be dated within the last 3 months (or 12 months for annual statements)
  • Be written in English (or accompanied by a certified English translation)

Accounts

1Will I get a fine if I file the accounts late

If a company files accounts after the due date, Companies House will impose a penalty fine:

  • Less than one month - £150
  • More than one month but not more than three months - £375
  • More than three months but not more than six months - £750
  • More than six months - £1500

To avoid penalty fines for overdue company accounts, you can:

  • Dissolve the company instead of filing accounts
  • File the accounts and then appeal against the penalty (appeals may not be successful)

Simple Tip: You can find your filing date on your account with us or on Companies House's public register.

2What are Dormand Company Accounts
Dormant company accounts are annual filings required by Companies House for limited companies. They are applicable only to companies exempt from audi.

4How ofter must Annual Accounts be filed ?
Company accounts must be filed annually. For your initial accounts, they must be submitted within 21 months from the date of incorporation. Subsequent filings must be made within 9 months from the end of the Accounting Reference Date (ARD). If you're unsure about your ARD, you can log in to your account to find this information.
